Terms of Service

1. Acceptance of Terms

Welcome to StemForge ("StemForge," "we," "our," or "us"). By accessing or using our website at stemforge.studio, our beat generation platform, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date above or sending an email to registered users. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. The Service

StemForge is an AI-powered music beat generation platform that allows users to create original instrumental beats and audio tracks using artificial intelligence. The Service includes:

  • AI-powered beat generation using text prompts, style descriptors, and musical parameters
  • Stereo mix downloads (MP3 and WAV)
  • Project storage, dashboard, and playback functionality
  • Account management including profile, subscription, and billing tools

We use third-party AI providers to power our generation pipeline. Output quality and availability depend on these services and may vary.

3. Eligibility & Accounts

You must be at least 13 years old (or the minimum age required in your country) to use the Service. By creating an account, you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Promptly update your account information if it changes
  • Notify us immediately of any unauthorized access to your account
  • Not share your account with others or allow others to access your account

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion.

4. Subscriptions, Credits & Billing

4.1 Free Plan

Free accounts receive 50 points per month at no charge (enough for 5 beats at 10 pts each). Free generations include the full stereo mix. No credit card is required to start.

4.2 Paid Plans

We offer the following paid subscription tiers, billed monthly:

  • Creator Plan ($10/month): 600 points monthly, auto-split, vocal+instrumental, MP3 download, commercial use rights
  • Pro Artist Plan ($26/month): 2,000 points monthly, all split modes, MP3 + WAV download, commercial use rights, priority queue

4.3 Billing & Renewal

Paid plans are billed monthly via Stripe. Subscriptions automatically renew unless cancelled before the next billing date. You authorize us to charge your payment method on file for recurring subscription fees and any overage charges.

4.4 Refunds

All sales are final. We do not offer refunds for monthly subscription charges or individual generation points consumed. If you believe a charge was made in error, contact us within 14 days at stemforgesupport@gmail.com and we will review your case.

4.5 Cancellation

You may cancel your subscription at any time through the Subscription page in your account or via the Stripe billing portal. Cancellation takes effect at the end of your current billing period. You retain access to your plan until then.

4.6 Generation Credits

Monthly generation points reset on your billing date and do not roll over to the following month. Unused generations are forfeited at period end.

5. Intellectual Property & Ownership

5.1 Your Content

When you provide prompts, lyrics, style descriptors, or other input to generate beats ("Input"), you retain ownership of your Input. You grant StemForge a non-exclusive, worldwide, royalty-free license to use your Input solely for the purpose of providing the Service to you.

5.2 Generated Output

Subject to your plan and payment of applicable fees:

  • Free Plan: Beats generated are for personal, non-commercial use only. You may not sell, license, or commercialize beats generated under the Free plan.
  • Creator & Pro Artist Plans: You receive a non-exclusive license to use generated beats for commercial purposes, including in music releases, content monetization, sync licensing, and other commercial applications.

StemForge does not claim ownership of your generated beats. However, because AI generation is non-deterministic, we cannot guarantee uniqueness — similar outputs may be produced for other users.

5.3 StemForge Platform

All platform code, design, branding, logos, trademarks, and underlying technology are the exclusive property of StemForge. You may not copy, reverse-engineer, or create derivative works of the platform.

6. Acceptable Use

You agree not to use the Service to:

  • Generate content that infringes the intellectual property rights of any third party
  • Create content that is illegal, defamatory, harassing, threatening, or abusive
  • Reproduce, scrape, or systematically extract data from the platform
  • Circumvent, disable, or interfere with security or access controls
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent
  • Resell, sublicense, or commercially exploit the platform itself without our written authorization
  • Generate content designed to deceive, manipulate, or defraud others
  • Violate any applicable local, national, or international law or regulation

Violation of these rules may result in immediate account termination without refund.

7. AI-Generated Content Disclaimer

StemForge uses AI to generate audio content. While we strive to produce high-quality, original output, we make no guarantees regarding:

  • The uniqueness or originality of generated beats
  • The absence of similarity to existing copyrighted works
  • The suitability of generated content for any particular commercial or artistic purpose

You are solely responsible for reviewing generated content before use and for ensuring your use complies with applicable copyright law. StemForge is not liable for any third-party claims arising from your use of AI-generated content.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEMFORGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid to StemForge in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless StemForge and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit or generate through the Service.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including your violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
